Share/Corporate History
The Company continued under the Canada Business Corporations Act under the name "Red Back Mining Inc." on April 23, 2004. The Company is authorized to issue an unlimited number of common shares. The Company was originally incorporated under the Company Act (British Columbia) on March 16, 1988 under the name of Champion Resources Inc. ("Champion") with an authorized capital of 10,000,000 common shares without par value. Effective September 26, 1995, the authorized capital of the Company was increased to 25,000,000 common shares without par value and effective June 24, 1998, the Company's authorized capital was further increased to 100,000,000 common shares without par value. Effective January 25, 2002, the issued and unissued capital of the Company was consolidated on a one for ten basis. Concurrent with the consolidation, the authorized capital of the Company was increased from 10,000,000 post-consolidated common shares without par value to 100,000,000 post-consolidated common shares without par value, all shares issued and unissued ranking pari passu. Effective April 23, 2004 the issued and unissued capital of the Company was consolidated on a one for three basis in connection with a merger with Red Back Mining NL. Concurrent with the consolidation, the authorized capital of the Company was increased from 33,333,333 common shares to an unlimited number of common shares upon the continuance of the Company under the Canada Business Corporations Act.
